Binding Agreement

THIS SITE IS MADE AVAILABLE TO VISITORS AS A SERVICE TO ACCESS INFORMATION REPRESENTS INFORMATION THAT IS EDITORIAL IN NATURE.  The Women’s Guild Network is a site that provides information to visitors, and the visitors are responsible for the use of this information.

BY ACCESSING OR USING THIS SITE IN ANY MANNER YOU ARE DEEMED TO HAVE READ, UNDERSTOOD AND AGREED TO EACH OF THE TERMS, CONDITIONS AND NOTICES SET FORTH IN THIS AGREEMENT. IF YOU DO NOT UNDERSTAND OR AGREE TO EACH OF THE TERMS, CONDITIONS AND NOTICES IN THIS AGREEMENT, YOU SHOULD NOT ACCESS OR USE THIS SITE IN ANY MANNER.

Scope of Agreement

The Terms of Use Agreement (the “Agreement”) is between you (“You” and “Your”) and Women’s Guild Network. This Agreement governs your access to and use of this web site (including without limitation, all content (as defined herein), software, HTML and other code, and script forming a part of this web site, your ability to upload content to the web site, and all goods, services and transactions offered through this Web site. In addition to complying with the terms and conditions of this Agreement, you agree to comply with all additional terms and conditions governing the access to and use of specific areas of this Site which are incorporated into and made a part of this Agreement:

 We are a service-only provider of information only at this time.  We run our website on InMotion Web Hosting servers for a fee.  We run our website on WordPress with several plug-ins to improve your site experience.  Our current WordPress theme was purchased from InMotion Web Hosting, Inc. 

We respect the privacy and security of our visitors. You understand that by using our site, you give consent to the collection, use and disclosure of your personally identifiable information as well as any non-personally identifiable information, as described in more detail in our Privacy Policy.

You affirm that you are not a minor or you confirm you are an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you represent that you are not a minor.

In our discretion, we may maintain different accounts for different types of Visitors. If you open an account on behalf of a company, organization, or other entity, then (a) “you” includes you and that entity, and (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to these Terms of Service, and that you agree to these Terms on the entity’s behalf. By connecting to Women’s Guild Network with a third-party service (e.g., Facebook or Twitter), you give us permission to access and use your information from that service as permitted by that third-party service, and to store your log-in credentials for that third-party service. The Service is not available to any Visitor who has been removed from the Service by Women’s Guild Network.

Women’s Guild Network does not collect payments or associated information at this time.

Registration

By registering and participating in this Service as a Visitor, you agree and represent as follows:

  1. You are of legal age and are otherwise capable of forming a legally binding contract;
  2. All information you submit to Women’s Guild Network or in connection with our Service is accurate and complete and that you will maintain and promptly update any profile supplied to us to ensure accuracy at all times;
  3. You agree to be contacted via Email, SMS and text messaging by Women’s Guild Network, and third parties if relevant, regarding Women’s Guild Network’ services;
  4. You hereby grant Women’s Guild Network permission to email or display your profile and such other information as may be supplied by you to us on or from our website as we shall deem advisable in our sole determination in connection with the Service or for marketing purposes thereof;
  5. By using the Service, you are granting us permission to access your account and those messages, data, information, text, graphics, audio, video or other material posted/uploaded/transmitted to or through the Service using your account, solely in connection with the provision of Services.
  6. This WordPress theme and plugins are released under the GNU Public License version 2.0. All .PSD files are packaged separately and are not licensed under the GPL 2.0. Instead, these files inherit the Women’s Guild Network Personal Use License. These files are given to all Clients on a personal use basis. You may not offer them, modified or unmodified, for redistribution or resale of any kind.

You may visit our Site without registering; however, in order to post replies / comments, you are required to register an account.

Use and Protection of Password and ID

  • Women’s Guild Network may assign a password and account ID to you so you can access and use certain areas of this Site. Each visitor who uses such password and ID will be deemed to be authorized to access and use this Site and Women’s Guild Network has no obligation to investigate the authorization or source of any such access or use. YOU ACKNOWLEDGE AND AGREE THAT YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THIS SITE BY ANYONE USING THE PASSWORD AND ID ORIGINALLY ISSUED TO YOU WHETHER OR NOT SUCH ACCESS TO AND USE OF THIS SITE IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL UPLOADS, COMMUNICATIONS AND TRANSMISSIONS, AND ALL OBLIGATIONS (INCLUDING WITHOUT LIMITATION FINANCIAL OBLIGATIONS) THAT MAY RESULT FROM SUCH ACCESS OR USE.

(b) You are solely responsible for protecting the security and confidentiality of the password and ID. You shall immediately notify Women’s Guild Network of any unauthorized use of the password or ID, or any other breach or threatened breach of this Site’s security.

Privacy Policy and Gathering of Personally-Identifying Information

As you (“visitor”) and other visitors choose to interact with the Women’s Guild Network web site, personally-identifiable information may be collected.  The amount and type of information that is gathered depends on the nature of the interaction. We ask visitors who register to provide a username and email address. When visitors contact the Women’s Guild Networks, we collect first and last names as well as the email address and any information the visitor includes in the communication.  In each case, the Women’s Guild Network web site collects such information that is necessary to fulfill the visitors request of the Women’s Guild Network.  The Women’s Guild Network does not disclose personally-identifying information other than as described below, and visitors can always refuse to supply personally-identifying information, with the caveat that it may prevent them from engaging in certain website-related activities.

Aggregated Statistics

Women’s Guild Network may collect statistics about the behavior of visitors to its websites, but does not reveal any personally-identifiable information in a report.

Women’s Guild Network uses cookies to help Women’s Guild Network identify and track visitors, their usage of Women’s Guild Network, and their website access preferences. Copyright and Third Party Content

Women’s Guild Network respects the rights of third party creators and content owners and expects that you will do the same. Given the nature of the Service and the volume of information submitted, we cannot and does not monitor all of the Materials posted or transmitted by you and other third-party information providers via the Service, including, without limitation, any Materials posted via the website. You expressly agree that we: (a) will not be liable for Materials and (b) reserve the right to review, reject, delete, remove, modify, or edit any Materials at any time for any reason, without liability and without notice to you. We reserve the right, but are not obligated, to remove Visitor Content from the Service for any reason, including Visitor Content that we believe violates these Terms or our Acceptable Use Policy below.

It is the policy of Women’s Guild Network to respond to all claims of intellectual property infringement. We will promptly investigate notices of alleged infringement and will take appropriate actions required under the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c)(2) (“DMCA”) and other applicable intellectual property laws.

Acceptable Use Policy

In addition, you covenant and represent that you will not use the Service in violation of the law or these Terms of Service.

Forums and other Online Communication Modes

The Service may offer forums, blogs, comments areas, bulletin boards and chat rooms (collectively, “Forums”) that are intended to provide visitors 18 years of age and older an interesting and stimulating forum in which they can express their opinions and share their ideas. Women’s Guild Network does not endorse the accuracy or reliability of any advice, opinion, statement or information posted on these Forums. Please use your best judgment, and be respectful of other individuals using these Forums. Do not use vulgar, abusive or hateful language. Uploading copyrighted or other proprietary material of any kind on the Service without the express permission of the owner of that material is prohibited and may result in civil and/or criminal liability. Any information you disclose when posting a message in these Forums may become public. You should not include any information in your posting that you do not want other parties to see or use and you hereby agree that you will not hold Women’s Guild Network responsible for any third party’s use of information contained in such posting. You agree not to use usernames or Forum titles that are offensive, obscene, or harassing to others. We reserve the right to require you to change your username or the title of your Forum at any time and for any reason in our sole discretion.

As a part of our Service, we may offer links to websites operated by various third parties and is not responsible or liable for any acts or omissions created or performed by these third parties. We provide such links for your convenience and reference only. Women’s Guild Network does not operate or control in any way any information, software, products or services available on such web sites. Our inclusion of a link to a website does not imply any endorsement of the services or the site, its contents, or its sponsoring organization.

Representations and Warranties and Indemnification

You hereby represent and warrant that: (a) you have all necessary authority, rights and permissions to submit the Materials and grant the licenses described in these Terms of Service, (b) the Materials are accurate, current and complete, (c) the Materials and your use of the Service shall not infringe or misappropriate any copyright, trademark, trade secret, patent, or other intellectual property right of any third party or violate any other rights of third party, including, without limitation, any rights of privacy or publicity or any contractual rights, (d) the Materials and your use of the Service shall not violate any applicable law or regulation or cause injury to any person; (e) your use of the Service shall not violate any agreements between you and a third party.

 You agree to indemnify, defend and hold harmless Women’s Guild Network, and its officers, directors, employees, agents, and contractors from and against any and all claims, costs, demands, damages, liabilities, or expenses, including, without limitation, reasonable attorneys’ fees, arising from or related to: (a) the Materials you provide or approve for publication, (b) your use of the Service, (c) your breach of these Terms of Service, or (d) any actual, prospective, completed or terminated service between you and a third party.

Disclaimers and Limitations

Women’s Guild Network intends that the information contained in its Service be accurate and reliable; however, errors sometimes occur. In addition, Women’s Guild Network may make changes and improvements to the information provided herein at any time. THE SERVICE AND THE INFORMATION, SOFTWARE, PRODUCTS AND SERVICES ASSOCIATED WITH IT ARE PROVIDED “AS IS.” WOMEN’S GUILD NETWORKAND/OR ITS SUPPLIERS, PARTNERS AND AFFILIATES DISCLAIM ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO THE SERVICE AND ANY INFORMATION, SOFTWARE, PRODUCTS AND SERVICES PROVIDED HEREIN, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. Limitation of Liability

IN NO EVENT SHALL WOMEN’S GUILD NETWORK, ITS REPRESENTATIVES, EMPLOYEES, CONTRACTORS, OR ITS SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. WOMEN’S GUILD NETWORK ASSUMES NO LIABILITY AS A RESULT OF YOUR ACCESS AND USE OF THE WOMEN’S GUILD NETWORK WEB SITE. THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE CONTRACT BETWEEN WOMEN’S GUILD NETWORK AND YOU.

Errors and Delays

Women’s Guild Network is not responsible for any errors or delays caused by an incorrect e-mail address provided by you or any other technical problems.
